Terms of sale

1. Scope

These conditions govern every supply by NEGROCOMMERC sp. z o.o. unless a signed contract says otherwise. We supply businesses only — contractors, developers, fit-out and installation firms and retailers holding a valid NIP or EU VAT number. We do not sell to consumers, and consumer protection provisions do not apply to these supplies.

2. Quotations and orders

• Prices shown on this website are an invitation to treat, not an offer. A contract arises when we confirm your order in writing.
• Written quotations are valid for 30 days unless stated otherwise on the quotation.
• Minimum order value is 3 000 PLN net per delivery.
• Made-to-order lines — doors, tinted paint, clay roof tiles, cut-to-length sheet — cannot be cancelled once production has started.

3. Prices

All prices are in Polish złoty, net of VAT, ex our Kraków warehouse unless a delivered price is quoted. VAT is added at the rate applicable on the date of invoice.

Volume tiers are applied per line, automatically, on the order that reaches them. Tier discounts apply to the product line only, not to carriage or to tinting.

4. Payment

• First orders are supplied against pro-forma payment.
• Approved accounts are 30 days from invoice date; contract accounts may be agreed at 60 days.
• Statutory interest for late payment in commercial transactions applies to overdue sums.
• Title to the goods passes only on payment in full. Risk passes on delivery.

5. Delivery

• Stocked lines ordered before 14:00 on a working day are dispatched the same day.
• Delivery dates are given in good faith and are not of the essence unless agreed in writing as a condition.
• Kerbside offload is the default. Mechanical offload must be booked at least 48 hours ahead.
• The buyer is responsible for safe, lawful access for a curtain-side vehicle and for someone being present to receive and sign for the consignment.

6. Inspection and claims

Shortages and transport damage must be noted on the CMR or delivery note at the point of delivery and reported to us, with photographs, within 24 hours. Claims made after the consignment has been signed for clean cannot be pursued against the carrier and therefore cannot be met.

Material must be checked for batch, calibre and shade before fixing. We cannot accept a claim for tonal or dimensional variation once tiles have been laid, because that variation is declared on the packaging.

7. Returns

• Unopened full pallets in original wrapping may be returned within 90 days against a credit note, less a 15 % restocking charge, carriage at the buyer's cost.
• Part pallets, opened packs, made-to-order lines and tinted products are not returnable.
• Returns must be agreed in writing before they are sent.

8. Warranty

Products carry the manufacturer's own warranty, which we register in the buyer's name. We pass on and support those claims but we do not extend them. Declarations of performance and batch certificates are issued with the delivery note and again as a close-out pack on request.

System warranties — drywall, ETICS, tanking — depend on the whole system being from one manufacturer and installed to its instructions. Mixing components from different makers voids them, and that is outside our control once material leaves us.

9. Liability

Our liability for any supply is limited to the net invoice value of the goods concerned. We are not liable for indirect or consequential loss, including loss of profit, delay costs, site standing time or the cost of removing and reinstating materials, except where Polish law does not permit such a limitation.

10. Force majeure

Neither party is in breach for a failure caused by events outside its reasonable control, including mill shutdowns, raw-material shortages, transport disruption, extreme weather and acts of public authority. Where such an event persists beyond 60 days, either party may cancel the undelivered balance without penalty.

11. Governing law

These conditions are governed by Polish law. Disputes are subject to the exclusive jurisdiction of the court competent for the registered seat of NEGROCOMMERC sp. z o.o. in Kraków. The UN Convention on Contracts for the International Sale of Goods does not apply.
